Welcome to the ANTHONY WAYNE VOCALS ARTS BOOSTER (AWVAB). These comprehensive Terms and Conditions of Service and Participation (“Terms”) constitute a legally binding agreement between you and the AWVAB, a non-profit organization dedicated to supporting and promoting the vocal arts program in the Anthony Wayne community. By accessing our website (awvob.site), engaging in our fundraising activities, volunteering your time, enrolling a student, or making a financial contribution, you are acknowledging that you have read, understood, and agree to be bound by all these Terms, which are designed to protect the integrity of our mission and ensure a safe, supportive, and professional environment for all participants. If you do not agree with any part of these Terms, you must immediately discontinue use of our website and refrain from participating in our organization’s activities. These Terms apply to all users, including parents, guardians, students, volunteers, donors, and other community members, and are subject to change without prior notice, though significant material changes will be communicated promptly through our primary communication channels.
1. DEFINITIONS AND ACCEPTANCE OF TERMS
Clarifying Roles within the AWVAB Ecosystem
For the purposes of these Terms, the following definitions shall apply consistently throughout this document, clearly defining the relationship between the organization and its stakeholders. The “Agreement” refers to these Terms and Conditions in their entirety, representing the full understanding of rights and obligations between the parties.
- “Organization,” “AWVAB,” “We,” “Us,” or “Our” refers exclusively to the ANTHONY WAYNE VOCALS ARTS BOOSTER, its Executive Board, committee chairs, and authorized representatives, acting in their official capacity as the non-profit support entity.
- “User,” “You,” or “Participant” refers to any individual accessing our website, subscribing to our communications, utilizing our services, registering as a volunteer, making a donation, or having a student enrolled in the vocal arts program supported by AWVAB.
- “Student Participant” refers to any student actively enrolled in a vocal arts ensemble or program within the Anthony Wayne school system that is financially or logistically supported by the AWVAB.
- “Website” refers specifically to the AWVAB primary online domain, awvob.site, and all associated web pages, digital forms, and sub-directories managed directly by the Organization.
- “Donation” refers to any voluntary monetary contribution or gift-in-kind provided to AWVAB. These funds are considered irrevocable contributions dedicated to furthering the Organization’s tax-exempt purpose.
Acceptance: Your use of the Website, your signature on any official document (digital or physical) acknowledging a role within the Organization (e.g., Volunteer Agreement, Media Release), or your transaction of funds to the Organization constitutes your full and unequivocal acceptance of these Terms. This acceptance is ongoing and applies to all current and future interactions with the AWVAB.
2. MEMBERSHIP, PARTICIPATION, AND CODE OF CONDUCT
Standards for Community Engagement and Responsibility
Active membership and participation are foundational to the success of the Booster Club. These terms establish the responsibilities and behavioral standards required of all individuals within the AWVAB community.
2.1. Volunteer Commitment and Role Clarity: Individuals volunteering their time, skills, or services to the AWVAB must clearly understand that their role is strictly supportive and administrative. Volunteers agree to abide by all operational guidelines set forth by the AWVAB Executive Board, the vocal program directors, and, where applicable, the rules and regulations of the Anthony Wayne School District. Volunteers must execute their duties with professional courtesy, prioritizing the safety, welfare, and positive artistic experience of the Student Participants above all else. Failure to adhere to assigned roles or acting outside the scope of duties as defined by the Executive Board may result in the immediate revocation of volunteer status. Furthermore, all volunteers must complete any required background checks, training, or certification processes mandated by the school district or the Organization prior to engaging in activities involving direct contact with Student Participants.
2.2. Expected Standards of Conduct: All Users, including parents, guardians, and Student Participants, agree to uphold a high standard of conduct in all interactions related to AWVAB and the vocal arts program. This standard encompasses respectful, supportive, and collaborative behavior toward fellow parents, students, artistic staff, school administration, and members of the Executive Board. Specifically, all communication—whether in person, via email, or on social media platforms—must be constructive, professional, and free of derogatory, harassing, or defamatory language. Disagreements or concerns related to program logistics or personnel must be addressed through the established Conflict Resolution Protocol by formally contacting the Executive Board, and should never be publicly aired or debated in non-official forums, thereby protecting the overall program environment and the well-being of the students.
2.3. Compliance with School and Program Rules: The AWVAB operates in direct partnership with the Anthony Wayne School District and its vocal arts program. All Student Participants and their respective parents/guardians are required to comply fully with all rules, policies, schedules, and disciplinary measures established by the school district and the program directors. The AWVAB’s support is contingent upon this compliance, and the Organization reserves the right to withhold funding or logistical support for any individual student or activity if non-compliance jeopardizes the Organization’s status, reputation, or safety commitments. The Booster Club does not supersede or override the academic or artistic judgment of the program directors or school administration.
3. FINANCIAL TERMS AND DONATION POLICY
Governance of Funds, Fees, and Fiscal Responsibility
Transparency and the responsible management of community-raised funds are core principles of the AWVAB. These terms clarify the nature of financial transactions with the Organization.
3.1. Nature of Donations: All monetary contributions made to the AWVAB are considered irrevocable gifts and are tax-deductible to the extent allowed by law, as the AWVAB is a registered non-profit organization. Once a donation is processed, it is immediately allocated to the general operating fund or a specific fund as designated by the donor (if applicable) and becomes non-refundable.
3.2. Non-Refundable Policy: AWVAB maintains a strict non-refundable policy for all donations, participation fees, and event ticket purchases. This policy is necessary because funds are typically committed and expended immediately to cover program costs, such as competition registration fees, bus charter deposits, uniform purchases, and masterclass instructor fees. In the event a Student Participant withdraws from the program, misses an event, or is unable to utilize a pre-paid service, the associated fees or portions of the general donation allocated for that student cannot be refunded. The Organization commits to transparent reporting on how all funds are used to ensure donor confidence.
3.3. Designated Funds and Allocation Flexibility: While donors may designate funds for a specific, restricted purpose (e.g., “New Microphones Fund”), the AWVAB Executive Board retains final authority and discretion over the use and allocation of all funds. Should a designated need become fully funded, obsolete, or impractical to fulfill, the Organization reserves the right to redirect the remaining balance to the next most critical, similar need within the vocal arts program, aligning with the Organization’s overarching mission. This flexibility ensures that donor generosity is always maximized for the benefit of the greatest number of Student Participants.
3.4. Transaction Fees and Chargebacks: In the event a User initiates a chargeback or payment reversal on a transaction (donation or fee payment), they understand that the AWVAB will incur administrative and financial penalties from the processing bank. The User agrees to cooperate fully with the Organization to resolve the issue directly and acknowledges that they may be held responsible for covering any fees incurred by the AWVAB due to the reversal, ensuring the Booster funds are not diminished by banking disputes.
4. INTELLECTUAL PROPERTY, MEDIA, AND CONTENT RIGHTS
Protecting Artistic and Organizational Assets
These terms define the ownership and usage rights concerning digital content, official logos, and media captured during organizational and performance activities.
4.1. Organizational Intellectual Property (IP): All content, including but not limited to, the AWVAB logo, organizational graphics, website design, original text content (e.g., mission statements, policy documents), and all official communications are the exclusive intellectual property of the ANTHONY WAYNE VOCALS ARTS BOOSTER. You are granted a limited, non-exclusive, non-transferable license to access and use the Website and its content solely for the purpose of participating in, supporting, or learning about the AWVAB mission. Any unauthorized use, reproduction, distribution, or modification of the Organization’s IP without the express written permission of the Executive Board is strictly prohibited and constitutes a violation of these Terms.
4.2. Performance Media and Publicity Rights: By signing the annual Media Consent and Release Form, which is mandatory for participation in many Booster-supported activities, parents and guardians grant the AWVAB a perpetual, worldwide, royalty-free license to use photographs, video recordings, audio recordings, and the likeness/name (in accordance with privacy policy restrictions) of the Student Participant. This license is granted for non-profit promotional, fundraising, and documentation purposes across all media formats (website, social media, program booklets, advertising, and internal presentations) necessary to fulfill our mission to celebrate and promote the vocal arts. This release is essential for showcasing the program’s success.
4.3. User-Generated Content and Social Media: Users who post content related to the AWVAB or the vocal arts program on public platforms (e.g., social media) grant the Organization a non-exclusive right to monitor, comment on, and reference that content for community engagement purposes. Users must ensure that any media they post complies with the original media release forms and does not violate the privacy or publicity rights of other Student Participants or volunteers. Harassment, derogatory commentary, or unauthorized sharing of non-public schedules or meeting details via personal social media channels is strictly prohibited under the Code of Conduct and may lead to immediate suspension of participation privileges.
5. WEBSITE USE, DISCLAIMERS, AND LIABILITY LIMITATIONS
Governing Digital Interaction and Risk Mitigation
These provisions govern your digital interactions with the AWVAB Website and limit the Organization’s liability concerning the services and information provided.
5.1. Website Provided “As-Is”: The AWVAB Website and all information, materials, schedules, and services offered on or through the site are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Website will operate without interruption or error, or that the information, including posted schedules, fundraising totals, or meeting notes, will always be perfectly accurate, complete, or current. While we strive for absolute accuracy, all published schedules and dates, in particular, should be verified via direct email communication to the Program Liaison, as they are subject to change due to unforseen circumstances such as travel disruptions, venue availability, or illness.
5.2. Limitation of Liability: To the fullest extent permitted by applicable law, the ANTHONY WAYNE VOCALS ARTS BOOSTER, its Executive Board, officers, volunteers, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, or goodwill, arising out of (a) your access to or use of, or inability to access or use, the Website or its content; (b) any conduct or content of any third party on the Website; (c) any content obtained from the Website; or (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage. This limitation applies to all claims, whether asserted in contract or tort, regardless of the magnitude of the claim.
5.3. Indemnification: You agree to defend, indemnify, and hold harmless the AWVAB, its officers, directors, volunteers, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney’s fees), resulting from or arising out of: (i) your misuse of the Website; (ii) your violation of any term of these Terms; (iii) any activity or conduct related to the Organization that violates the Code of Conduct or results in property damage; or (iv) your violation of any third party’s rights, including, without limitation, any copyright, property, or privacy right. This indemnification obligation shall survive the termination of your participation with AWVAB.
6. DISPUTE RESOLUTION, GOVERNING LAW, AND TERMINATION
Framework for Legal and Operational Finality
These final terms establish the procedures for resolving disputes, the applicable legal jurisdiction, and the conditions under which participation or services may be concluded.
6.1. Governing Law and Jurisdiction: These Terms shall be governed and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the AWVAB Website or participation shall be exclusively brought in the federal or state courts located in Lucas County, Ohio. By agreeing to these Terms, you consent to the personal jurisdiction and venue of these courts.
6.2. Dispute Resolution Protocol: In the event of any dispute arising under these Terms or concerning the operations of the AWVAB (excluding matters falling under the exclusive jurisdiction of the school district), the parties agree to first attempt to resolve the matter amicably through good faith negotiation with the Executive Board. If a resolution cannot be reached within sixty (60) days, the parties agree to enter into non-binding mediation in Lucas County, Ohio, with a mutually agreed-upon mediator, before initiating any formal legal action. This commitment to collaborative resolution underscores our family-first operational philosophy.
6.3. Termination of Participation and Service Access: The AWVAB reserves the right to suspend or terminate your access to the Website and/or revoke your volunteer or participant status immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Code of Conduct, fail to comply with financial obligations, or act in a manner deemed detrimental to the well-being of the Student Participants or the reputation of the Organization. Upon termination, your right to use the services and access the community ceases immediately. All provisions of the Terms which by their nature should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall remain in full force and effect.
6.4. Entire Agreement and Severability: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the AWVAB concerning our service and supersede all prior or contemporaneous communications, whether electronic, oral, or written. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect, and the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.
